Member Policies

At The Club, we are committed to creating a safe, respectful, and welcoming environment where people can pursue their health and fitness goals with confidence.

Our Member Policies outline the shared expectations that help protect our members, guests, staff, and the broader Club community. These guidelines are designed to support safety, privacy, cleanliness, professionalism, and mutual respect throughout our facilities.

By entering the Club or using our services, you agree to follow these expectations and contribute positively to the community we are building together.

Accessing The Club’s Facilities

These access requirements apply to all The Club, Inc. facilities, including Club Kona, Club Kealakekua, and any additional locations or facilities operated by The Club, Inc.

Check-In and Entry

You must check in at the designated entrance each time you enter or use a Club facility. Access may be provided through The Club’s mobile app, an approved key fob, or another authorized access method. Each person must enter individually. Do not hold or prop open the door for another person, allow unauthorized individuals to follow you inside, or provide access to anyone who has not properly checked in. You are responsible for ensuring that your access credentials are not shared, transferred, duplicated, or used by another person.

Identification

The Club may require you to maintain a current photograph and valid identification information on file to verify your identity and membership status. If a current photograph is not on file, or if requested by Club staff, you must present valid government-issued photo identification at check-in. The Club may deny or delay entry until your identity and authorization to access the facility are confirmed.

Membership in Good Standing

Access to any Club facility may be restricted, suspended, or denied if your account has outstanding past-due amounts, your payment method has been declined, your membership has expired, been suspended or terminated, or your membership is otherwise not in good standing. Access restrictions may apply across all Club locations and facilities.

Compliance with Club Hours and Instructions

You must comply with the posted hours of operation, access schedules, reservation requirements, capacity limits, and all reasonable instructions provided by The Club. Use of the facility and equipment must cease sufficiently in advance of closing to allow you to collect your belongings and fully vacate the premises by the designated closing time. The Club may require members and guests to leave earlier when reasonably necessary because of an emergency, maintenance, private event, weather condition, safety concern, or operational requirement.

Conduct & Behavior

Personal Conduct

Members, guests, and visitors must conduct themselves in a respectful, courteous, and appropriate manner while on The Club Inc. property or participating in Club activities, programs, services, or events. This standard applies to all facilities or locations operated by The Club Inc.

The Club does not tolerate:

  • Harassment, discrimination, bullying, intimidation, stalking, or threatening behavior;
  • Violence, fighting, physical aggression, or credible threats of harm;
  • Abusive, hostile, profane, or sexually suggestive remarks, gestures, advances, or contact;
  • Unwanted touching or conduct of a sexual, intimidating, or inappropriate nature;
  • Aggressive, disruptive, reckless, or unsafe behavior;
  • Excessive noise or conduct that unreasonably interferes with another person’s use or enjoyment of The Club;
  • Theft, vandalism, fraud, or unauthorized use of Club property;
  • Soliciting, selling, advertising, recruiting, or distributing materials without prior approval;
  • Providing false information or attempting to bypass Club policies, access controls, or enforcement procedures; or
  • Any conduct that compromises the safety, privacy, dignity, or experience of members, guests, staff, instructors, vendors, or other individuals.

The Club holds its employees, instructors, contractors, and service providers to professional standards and expects members and guests to extend the same level of professionalism and respect in return.

Any inappropriate, sexually suggestive, harassing, or otherwise unacceptable conduct toward a member, guest, employee, instructor, contractor, or service provider may result in immediate removal from the premises and suspension or termination of membership, access privileges, classes, personal training, spa or wellness services, treatments, events, or other Club programs. Depending on the circumstances, The Club may permanently terminate an individual’s membership and prohibit future access, re-enrollment, or participation at any Club facility. A permanent termination may constitute a lifetime ban, to the fullest extent permitted by applicable law.

The Club may take immediate action when reasonably necessary to protect people, property, privacy, or Club operations. Serious conduct may be reported to law enforcement or other appropriate authorities.

Inclusivity and Respect

The Club is committed to providing a welcoming, supportive, respectful, and inclusive environment for all members, employees, vendors, contractors, instructors, and guests.

Everyone using The Club is expected to respect differences in background, identity, age, ability, appearance, experience, fitness level, beliefs, and personal circumstances. Discrimination, harassment, exclusionary conduct, or behavior that creates a hostile or unwelcoming environment is prohibited.

Concerns regarding conduct or treatment at The Club should be reported promptly to Club management. The Club will review concerns and determine an appropriate response based on the circumstances.

Weapons

Firearms and other weapons are prohibited on Club property, to the fullest extent permitted by applicable law, regardless of whether an individual holds a permit, license, or other authorization to carry.

For purposes of this policy, “weapons” include firearms, knives, explosives, and any other object designed, carried, or intended to cause injury or that could reasonably be used as a weapon. The Club may also prohibit items that create a safety concern, even if the item is not ordinarily considered a weapon.

An individual who brings a prohibited weapon or dangerous item onto Club property may be directed to remove it immediately or leave the premises. Failure to comply may result in removal, suspension or termination of membership, permanent loss of access privileges, and notification of law enforcement. The Club may take any other action permitted by law.

Alcohol, Drugs, Smoking, and Restricted Substances

The Club is a smoke-free and drug-free environment. Smoking, vaping, and the use of tobacco, cannabis, illegal drugs, or other prohibited substances are not permitted in the facility or on Club property.

You may not enter, exercise, train, participate in a class, use equipment, receive a personal training session, use spa or wellness services, attend an event, or participate in any Club program while impaired by alcohol, cannabis, illegal drugs, medication, or any other substance that may affect your judgment, coordination, behavior, or ability to participate safely.

Alcohol may be consumed only when expressly provided or approved by The Club or an authorized vendor, and only in designated areas. Anyone consuming alcohol must be at least twenty-one (21) years of age and may be required to present valid identification. Alcohol may not be brought into unauthorized areas or consumed while using fitness equipment, participating in exercise or aquatic activities, receiving personal training, or using spa, wellness, or other fitness-related services.

The Club may refuse entry, stop participation, require an individual to leave, contact an emergency contact or emergency services, or take other appropriate action when impairment or substance use creates a safety or operational concern.

Compliance with Rules and Staff Instructions

Members and guests must comply with these Conditions of Entry, posted facility rules, equipment instructions, class policies, reservation requirements, and reasonable directions from Club staff.

The Club may issue a warning, restrict or revoke access to a specific area or service, remove an individual from the premises, suspend or terminate membership, or permanently prohibit access depending on the nature, seriousness, frequency, or risk associated with a violation.

No member or guest may retaliate against, intimidate, threaten, or interfere with any person who reports a concern or participates in a Club review. Termination or suspension of membership for a material breach generally does not entitle the member to a refund or credit for unused time or services.

Recording, Photography & Device Use

Cell Phones, Cameras, and Other Recording Devices

To protect privacy, comfort, and safety, recording, photography, and audio capture are prohibited in private or designated areas of The Club, including:

  • Locker rooms and changing areas;
  • Saunas and steam rooms;
  • Pool areas; and
  • During group fitness classes, unless expressly authorized by The Club.

Photography and recording in other areas of the Club are permitted only for personal, noncommercial use and must be conducted discreetly and safely. You may not photograph, record, or otherwise capture another member, guest, employee, instructor, contractor, or other individual without that person’s express permission.

Commercial photography, videography, audio recording, marketing, advertising, content creation, or recording intended to promote a personal business, product, service, brand, or professional activity is not permitted without The Club’s prior written authorization. This includes recording personal training, coaching, classes, or other Club services for commercial or promotional purposes.

Lighting equipment, tripods, stands, large cameras, professional recording equipment, or other equipment that may obstruct, disturb, or interfere with Club operations is prohibited unless approved in advance by The Club.

The Club may require you to stop recording, leave an area, or delete or remove content that captures another person without permission, violates these Conditions of Entry, compromises privacy, or interferes with the safety, operations, or experience of others. Nothing in this policy requires you to delete content when doing so would violate applicable law.

Personal Media and Device Use

As a courtesy to others, all music, videos, podcasts, calls, and other audio or video content must be listened to or viewed with headphones or earbuds. Volume must remain low enough that it is not audible or disruptive to others.

Phone calls, video calls, and voice calls are not permitted in private or designated areas, including locker rooms, changing areas, saunas, steam rooms, pool areas, group fitness classes, or on the Club floor.

Calls may be taken provided that:

  • Headphones or a private handset are used when appropriate;
  • Speakerphone is not used;
  • The conversation is brief and conducted at a reasonable volume; and
  • The call does not capture, disturb, or interfere with other members, guests, staff, classes, services, or Club operations.

The Club may direct you to end a call, relocate to another area, lower the volume, stop using a device, or remove recording equipment when reasonably necessary to protect privacy, maintain a respectful environment, or preserve the safety and experience of others. Repeated or material violations may result in removal from the premises, suspension or termination of membership, or loss of access to specific Club areas or services.

Lockers & Related Services

Locker Availability

Annual and monthly locker memberships are available at the Kona location, subject to availability and any applicable fees, terms, and conditions. Locker memberships are separate from facility access unless expressly included in the member’s membership benefits.

Kona locker-room lockers may not be used or secured with a personal lock unless the member has an active locker membership for that specific locker. Any lock placed on a locker without an active locker membership may be removed or cut off without advance notice, and the contents may be removed and handled in accordance with The Club Inc.’s lost-and-found or property procedures.

Free, lock-free lockers are available in the weight rooms at both Club Kona and Club Kealakekua. These lockers are intended for temporary, same-day use while you are at the Club. Items may not be left in free-use lockers overnight.

Personal Property and Valuables

Members and guests should avoid bringing valuables or unnecessary personal property to the Club. Do not leave cash, jewelry, electronics, wallets, identification, keys, medication, or other valuable or sensitive items in lockers, changing areas, vehicles, or anywhere else on Club property.

The Club Inc. does not guarantee the security of any locker or personal property and is not responsible for lost, stolen, damaged, or misplaced items, including items left in a locker or secured with an unauthorized lock, except to the extent responsibility cannot lawfully be excluded.

The Club may open, clear, relocate, or dispose of items left in a locker or on Club property when reasonably necessary to enforce Club policies, address a safety or maintenance issue, respond to an emergency, or manage unclaimed property. Unclaimed items may be handled under the Club’s lost-and-found procedures.

Sauna Etiquette and Towel Requirement

For cleanliness, hygiene, and respect for other users, a towel must be placed beneath your entire body whenever you sit or lie on a sauna bench. No part of your body should rest directly on the bench.

You are expected to leave the sauna in a clean and sanitary condition. Sweat must not be left on the benches, walls, floor, or other surfaces. Please wipe down any area you have used before exiting.

If excessive sweating occurs, The Club may recommend or require the use of a second towel beneath your feet or any other area that may come into contact with the sauna surfaces. Members and guests must follow reasonable instructions from Club staff regarding towel use, cleanliness, time limits, and sauna etiquette.

Food, grooming products, shoes, recording devices, and disruptive or inappropriate conduct are not permitted in the sauna. The Club may restrict or suspend sauna access for anyone who fails to follow these requirements.

Steam, Sauna, Jacuzzi and Pool

Members and guests are expected to help maintain a clean, respectful, and comfortable environment in all amenity settings.

The following items and activities are not permitted:

  • Photography, audio recording, or video recording;
  • Grooming products, including razors, lotions, oils, and similar items;
  • Food or beverages, except for water in an appropriate, non-glass container;
  • Shaving, grooming, or other personal-care activities; and
  • Conduct that is disruptive, unsafe, inappropriate, or inconsistent with the privacy and comfort of others.

Swimwear or other appropriate attire required. Members and guests must follow all posted instructions and any reasonable direction from Club staff.

Scheduled Closures and Maintenance

Showers, steam rooms, saunas, and other amenities may be temporarily closed for routine maintenance, cleaning, repairs, inspections, emergencies, or other operational needs.

Access is not permitted during a closure. If an amenity is closed after you have entered, you must promptly exit when directed by Club staff. Closure times may be communicated through posted notices, digital communications, verbal announcements, or the Club’s sound system.

Showers may close before the Club’s scheduled closing time. Unless a different time is posted, shower access will end fifteen (15) minutes before closing. Members and guests should plan accordingly to complete their activities, gather their belongings, and exit the Club by closing time.

Amenities, services, hours, availability, and access may vary by location and may change without advance notice when reasonably necessary for safety, maintenance, staffing, or Club operations.

Facility Use

Dress Code

You are required to wear appropriate athletic attire, including tops and suitable footwear, when entering or using Club Kona, Club Kealakekua, or any other facility operated by The Club Inc. (“The Club”), including when using equipment or participating in any group fitness class, training session, or other activity. In certain group fitness classes, such as yoga, the instructor may require you to remove your footwear as a condition of participation. If you have questions about appropriate cycling shoes or compatible cleats, please contact memberservices@theclubkona.com. Appropriate swimwear is required for entry to or use of Club pool and hot tub. The Club may deny or discontinue your use of its facilities, equipment, classes, or amenities if you are not wearing appropriate attire or footwear, as reasonably determined by The Club.

Equipment

You are expected to use all equipment only as intended, follow posted instructions and staff directions, and return equipment, weights, and accessories to their proper places when finished. Some equipment may be reserved for group fitness classes, training sessions, maintenance, or other Club programming, and you may be asked to stop using or move from that equipment during designated times. You may not reserve equipment for personal use by placing towels, bags, water bottles, or other items on or near it. As a courtesy to other members, please allow others to work in between sets when practical and avoid monopolizing equipment during busy periods. Please wipe down equipment after use and refrain from dropping weights except where the equipment is specifically designed to safely accommodate that use.

Group Fitness Classes

Certain group fitness classes, workshops, programs, or services may require a separate fee and may not be included in membership dues. Other group fitness classes may be included in your membership and may require advance booking. Unless The Club expressly designates or assigns a specific bike, station, mat, or space in advance, all group fitness class setups are first come, first served. Members and guests may not reserve, save, claim, or otherwise take possession of a particular bike, station, mat, or space before class or for the benefit of another person. Personal belongings may not be used to hold a place. Any items used to reserve or occupy a space improperly may be moved by The Club.

Walk-ins may be permitted at The Club’s discretion and are subject to space, capacity, and safety limitations. Advance booking does not guarantee a specific bike, station, mat, or location within the room. The Club may release your reserved spot if you are not checked in or present in the studio at the scheduled class start time. If you reserve a class, you are expected to cancel as soon as possible and in accordance with the cancellation period communicated when booking. Failure to cancel within the applicable cancellation period or failure to attend may be considered a missed booking. Repeated missed bookings may result in reasonable booking restrictions, fees, or other administrative measures.

No Outside Trainers

Personal training, coaching, instruction, or fitness programming may be provided at any Club only by individuals expressly authorized and engaged by The Club. You may not provide, receive, arrange, advertise, or facilitate personal training or coaching services for or with any other member or guest, regardless of whether a fee is charged. This prohibition applies to formal and informal instruction and to activities described as assistance, coaching, or shared workouts. A violation may result in a warning, removal from the activity, suspension, or termination of membership or guest privileges. Persistent, serious, or repeated violations may result in termination without a refund, to the maximum extent permitted by law.

Parking Lot

Club Kona provides parking for the convenience of members and guests using the Club. Vehicles may not remain in the Club Kona parking lot for more than two (2) hours. The parking lot is monitored, and vehicles that exceed the two-hour limit may be tagged. Repeated violations of the parking-time limit, parking rules, or staff instructions may result in suspension or termination of membership and loss of parking privileges. Please lock your vehicle and do not leave valuables visible or unattended.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE CLUB INC. WILL NOT BE LIABLE FOR THE LOSS OR THEFT OF, OR DAMAGE TO, ANY PERSONAL PROPERTY OF YOU OR YOUR GUESTS, INCLUDING WITHOUT LIMITATION ANY ITEMS LEFT IN YOUR VEHICLE(S), OR FOR DAMAGE TO OR LOSS OF THE VEHICLE(S) THEMSELVES, EXCEPT TO THE EXTENT SUCH LIABILITY CANNOT LAWFULLY BE EXCLUDED.

Parking at Club Kealakekua or any other Club location may be subject to separate location-specific rules, restrictions, or third-party requirements.

Service Animals and Pets

Service animals that are individually trained to work or perform tasks for individuals with disabilities (“Service Animals”) are permitted to accompany members or other Club guests with disabilities in areas of the Club open to members, subject to applicable law. The Club may ask you to remove your Service Animal if the animal is out of control and you do not take effective action to control it, if the animal is not housebroken, if the animal poses a direct threat to the health or safety of others, or if the animal’s behavior creates a legitimate operational concern permitted by law. The Club reserves the right to charge you for any actual damage caused by your Service Animal, to the extent permitted by law. Service Animals must remain under your control at all times and may not be affixed to or placed on Club equipment. For the safety and comfort of members, guests, and animals, pets and animals that do not qualify as Service Animals, including emotional-support or comfort animals, are not permitted inside Club facilities except as otherwise required by law.

Guests

As part of your membership, you may receive certain privileges to periodically bring a guest to a Club. You must accompany your guest at all times while the guest is using the Club. All guests must check in at the front desk, present valid photo identification, and sign The Club’s Guest Waiver and any other required documents before accessing or using the Club. Guest access may be subject to a guest-pass fee, location-specific limitations, capacity restrictions, and other applicable Club policies.

The Club reserves the right, in its reasonable discretion, to:

  1. Limit the Clubs, amenities, dates, or hours available to guests;
  2. Limit the number of times an individual may access a Club as a guest;
  3. Restrict or deny guest access based on capacity, safety, conduct, age, prior use, or other legitimate operational considerations; and
  4. Decline to admit or remove any guest who does not comply with Club policies or staff instructions.

Guests must comply with all applicable Conditions of Entry, Club policies, safety requirements, and staff directions. The sponsoring member may be responsible for the conduct of the guest and for any damage, loss, fees, or other obligations arising from the guest’s use of the Club. The Club may require a guest’s photo identification or photograph to be retained on file for identity verification and access-control purposes, subject to applicable law.

Children & Teen Members

Teen membership options may be available to individuals up to and including seventeen (17) years of age, subject to the applicable membership terms, enrollment requirements, parental or legal-guardian consent, age restrictions, and Club policies. The Club may establish different access privileges, hours, amenities, or program requirements for teen members.

Children fourteen (14) years of age and under must remain under the constant, direct supervision of a parent or legal guardian while on Club premises, including while using equipment, participating in activities, or accessing locker rooms and other Club areas. The parent or legal guardian must remain at the Club at all times and may not leave the premises while the child is present.

A child fourteen (14) years of age or under may use designated equipment or areas independently only after completing any training or orientation session required by The Club or an authorized Club personal trainer. The training must address the child’s appropriate use of the equipment, applicable gym rules, safety expectations, and any limitations established by The Club. Completion of a training session does not eliminate the parent or legal guardian’s obligation to remain at the Club or comply with all supervision requirements. The Club may continue to require direct supervision or restrict independent use whenever it reasonably determines that doing so is appropriate for safety or operational reasons.

Children and teen members must comply with all Club policies and staff instructions. A parent or legal guardian are required to sign a membership agreement, waiver, release, consent form, or other documentation on behalf of a minor before the minor may access or use the Club. Minors may also be required to provide valid identification or proof of age, and The Club may retain identifying information as reasonably necessary to verify eligibility and manage access.

Any child or teen who is disruptive, unsupervised, ill, engaging in unsafe conduct, or interfering with Club operations may be denied access to or removed from the Club. The Club may also impose additional restrictions on minors’ access to particular equipment, amenities, classes, or services.

Personal Training & Nutrition Counseling

Complimentary Starting Point Assessment

The Club may offer a complimentary thirty (30)-minute starting-point assessment to help a new member become familiar with the gym, discuss general goals, identify appropriate equipment, and determine how to begin using the Club safely and effectively. This assessment is intended as an orientation and starting-point experience only. It is not a personal training Session, does not include a complete training program, and does not replace medical advice, a medical evaluation, or ongoing instruction.

Trainer Tier and Service Matching

Personal training packages and service rates are based on the applicable trainer tier, the complexity of the member’s goals or needs, the qualifications and experience required, and the services or offerings included in the selected package. The Club may recommend a trainer of an appropriate tier based on the member’s objectives, experience, physical limitations, desired program, and the complexity of services requested. Trainer recommendations are intended to support an appropriate member experience but do not guarantee a particular trainer, schedule, outcome, or result.

Session Payment

Sessions and packages must be paid for on or before the applicable purchase date or scheduled Session, as communicated by The Club. The Club may cancel or release a scheduled Session for which payment has not been received within the required time. If you attend or use a Session that has not been paid for, The Club may charge the payment method associated with your account for the applicable amount.

Session Cancellation Policy

You may cancel or reschedule a Session by providing at least twenty-four (24) hours’ notice, unless a different cancellation period is stated in writing or applies to a particular service. If you cancel or reschedule with less than twenty-four (24) hours’ notice, or fail to attend a scheduled Session, you may be charged the full price of the Session. A late-cancelled or missed Session will not be refunded or reinstated, except as required by law or approved by The Club in its reasonable discretion.

Trainer Changes and Continuity of Service

Personal training, nutrition counseling, and related packages are purchased for the applicable services and trainer tier, not as a guarantee of continued availability of a particular individual trainer. If your trainer leaves The Club, becomes unavailable, changes their schedule, or is otherwise unable to provide your Sessions, The Club will make reasonable efforts to provide a replacement trainer of a suitable tier and qualifications. The Club may recommend an alternative trainer based on the complexity of your needs and the services included in your package. The departure or unavailability of a particular trainer does not, by itself, entitle you to a refund, cancellation of the package, or reinstatement of Sessions.

Expiration of Sessions

Unless prohibited by law or a different expiration date is expressly stated in writing by The Club, all Sessions expire upon the earlier of:

  1. The termination or expiration of your membership; or
  2. Six (6) months after the date of purchase.

The Club may establish different expiration periods for promotional packages, specialty services, or packages subject to separate written terms.

No Refunds or Transfers

All purchases of Sessions and packages are final and non-refundable, except as required by law or expressly approved in writing by The Club. Sessions and packages are not gift cards, gift certificates, or similar instruments; have no cash value; and may not be transferred, assigned, exchanged, or redeemed by another person.

Individual Results

Fitness, wellness, nutrition, and performance results vary by individual and depend on numerous factors, including consistency, effort, health history, physical condition, nutrition, recovery, and adherence to recommendations. The Club and its personnel do not guarantee any specific result, outcome, weight change, health improvement, or level of performance. Services are not a substitute for medical care or professional medical advice.

Membership Holds, Freezes & Proration

Eligibility and Duration

Members may temporarily suspend (“Freeze”) their membership for any reason, subject to the terms of this Agreement. A Freeze may be requested for any period selected by the member, up to a maximum of six (6) months per Freeze request. Annual memberships include Freeze privileges at no additional charge. Monthly memberships may be subject to prorated charges for the applicable Freeze period.

How to Request a Freeze

A Freeze request must be submitted at least fourteen (14) days before the member’s next scheduled billing date. Requests may be submitted through the GymMaster app or by emailing memberservices@theclubkona.com.

A telephone call, voicemail, verbal conversation, or in-person verbal request alone does not constitute a valid Freeze request. Staff may provide general information by phone, but a Freeze will not be considered requested, approved, or effective until The Club has received and processed the written request.

No Refunds Based on Verbal Requests

The Club will not issue a refund, credit, or adjustment based on a Freeze request allegedly made by telephone or communicated verbally. If a member wishes to request a Freeze, the member must submit the request in writing at least fourteen (14) days before the next scheduled billing date. Payments processed before a valid written Freeze request is received and approved will not be refunded, except where required by law or expressly approved by The Club.

No Retroactive Freezes or Refunds

Freezes cannot be applied retroactively. If a request is submitted fewer than fourteen (14) days before the next billing date, the upcoming payment may still be processed. No refund, credit, or adjustment will be issued for a payment processed before the Freeze takes effect, except where required by law or expressly approved by The Club.

Account Status

A member must be current on all amounts owed and otherwise in good standing to request or maintain a Freeze. The Club may require any past-due balance or other account issue to be resolved before approving a Freeze.

Reactivation and Club Access

A membership will automatically reactivate at the end of the approved Freeze period. Alternatively, the membership may reactivate when the member first checks in or otherwise uses a Club facility during the Freeze period (“first swipe”), unless The Club approves the access in advance. Once the membership is reactivated, regular membership dues and applicable charges will resume, and any applicable prorated amount may be charged to the member’s account.

Members may not access or use Club facilities or membership-based services while their membership is frozen. Use of the Club during a Freeze may result in immediate reactivation without further notice and may cause applicable membership dues to become payable.

Changes to a Freeze

Any request to shorten, extend, or otherwise modify a Freeze must be submitted through the GymMaster app or by email to memberservices@theclubkona.com. No Freeze may extend beyond six (6) months unless expressly approved by The Club or required by applicable law.
